Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Frameshift Labs Inc., a Washington corporation with its principal office at 999 Third Avenue, Suite 2800, Seattle, WA 98104 ("Frameshift Labs," "we," "our," or "us"). By creating an account, starting a free trial, or using any of our products and services, you agree to be bound by these Terms in full.
1. Acceptance of Terms
By accessing or using the Frameshift Labs website, platform, or any related services (collectively, the "Services"), you confirm that you are at least 18 years of age and have the legal authority to enter into this agreement. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.
2. Description of Services
Frameshift Labs provides cloud-based remote access, remote desktop, remote support, screen sharing, and device management solutions for IT professionals and organizations. The Services include, but are not limited to, the RemoteConnect Suite, SecureAccess Platform, CollabHub Workspace, and OpsView Command Center, as well as any associated APIs, documentation, and support resources.
3. Account Registration
To use the Services, you must create an account and provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at security@frameshiftlabs.com if you suspect any unauthorized access or use of your account.
4. Free Trial
Frameshift Labs offers a 14-day free trial that provides access to all features of the Services. No credit card is required to begin the trial. At the end of the trial period, your account will revert to a read-only state unless you select a paid subscription plan. We reserve the right to modify or discontinue the free trial offer at any time without prior notice.
5. Fees and Payment
If you subscribe to a paid plan, you agree to pay the applicable fees as described at the time of purchase. All fees are billed in advance on a monthly or annual basis, depending on the plan you select. Payments are non-refundable except where required by law or as explicitly stated in our refund policy. We reserve the right to change our pricing with 30 days' written notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
6. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. Specifically, you shall not:
- Use the Services to gain unauthorized access to any computer, network, or data
- Use the Services to distribute malware, spyware, or any other malicious software
- Attempt to reverse-engineer, decompile, or disassemble any part of the Services
- Interfere with or disrupt the integrity or performance of the Services or any third-party data
- Resell, sublicense, or redistribute the Services without our prior written consent
- Use the Services in violation of any applicable local, state, national, or international law
- Misrepresent your identity or affiliation when using the Services
We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these acceptable use provisions.
7. Intellectual Property
All content, features, and functionality of the Services — including text, graphics, logos, icons, software, and documentation — are the exclusive property of Frameshift Labs Inc. or its licensors and are protected by United States and international copyright, trademark, patent, and trade secret laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to these Terms.
8. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which is available at www.frameshiftlabs.com/privacy. You acknowledge that you have read and understood our Privacy Policy. You retain ownership of any data you transmit through the Services ("Customer Data"). We will not access, use, or disclose Customer Data except as necessary to provide the Services, comply with legal obligations, or as otherwise described in our Privacy Policy.
9. Service Availability and Support
We strive to maintain 99.97% uptime for our Services, as described in our Service Level Agreement (SLA). However, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated at least 48 hours in advance whenever possible. Technical support is available via email at support@frameshiftlabs.com during business hours (Monday through Friday, 8:00 AM to 6:00 PM Pacific Time), with 24/7 emergency support available for Enterprise plan customers.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Frameshift Labs Inc. and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, revenue, goodwill, or business opportunity — arising out of or related to your use of or inability to use the Services, regardless of the cause of action or the theory of liability, even if we have been advised of the possibility of such damages. Our total aggregate liability for all claims arising from or related to these Terms or the Services shall not exceed the amount you paid to Frameshift Labs in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Frameshift Labs Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any applicable law or regulation, or (d) any content or data you transmit through the Services.
12. Termination
Either party may terminate this agreement at any time. You may cancel your account by contacting us at support@frameshiftlabs.com. We may suspend or terminate your access to the Services at any time for cause, including but not limited to a breach of these Terms, non-payment, or conduct that we determine is harmful to other users or our infrastructure. Upon termination, your right to use the Services ceases immediately. We will make your Customer Data available for export for 30 days following termination, after which it may be permanently deleted.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association in Seattle, Washington. You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, for significant changes, notify active account holders by email at least 14 days before the new terms take effect. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any applicable Service Level Agreement or order form, constitute the entire agreement between you and Frameshift Labs Inc. regarding your use of the Services, and supersede all prior and contemporaneous agreements, proposals, and representations, whether written or oral.
